海源機械(002529,前收盤價(jia)12.41)今日(ri)(4月23日(ri))發(fa)布公(gong)告,擬(ni)以(yi)10.06元(yuan)/股(gu)(gu)價(jia)格,定(ding)增股(gu)(gu)份不超過(guo)6000萬股(gu)(gu),募集(ji)資金不超過(guo)6.036億元(yuan),用于新(xin)能源汽車(che)碳纖維車(che)身(shen)部(bu)件生(sheng)產(chan)(chan)工(gong)藝技術及生(sheng)產(chan)(chan)線(xian)裝備(bei)的研發(fa)及產(chan)(chan)業化,以(yi)及新(xin)能源汽車(che)碳纖維車(che)身(shen)部(bu)件生(sheng)產(chan)(chan)示范項目。
公告顯示,本次非(fei)公開發(fa)(fa)行股(gu)票的發(fa)(fa)行對象為上銀(yin)瑞(rui)(rui)金資產(chan)(chan)管(guan)(guan)理(上海(hai))有限公司擬(ni)設(she)立(li)的上銀(yin)瑞(rui)(rui)金-“慧富(fu)15號(hao)”和“慧富(fu)16號(hao)”資產(chan)(chan)管(guan)(guan)理計劃,前者以現(xian)金2.012億元認(ren)購2000萬(wan)(wan)股(gu),后者以現(xian)金4.024億元認(ren)購4000萬(wan)(wan)股(gu)。
其中,上(shang)銀瑞金慧(hui)富15號為上(shang)銀瑞金擬設立(li)的(de)(de)由李良光(公(gong)(gong)(gong)司(si)(si)(si)(si)實(shi)際控制人(ren)(ren)(ren)、公(gong)(gong)(gong)司(si)(si)(si)(si)董(dong)事(shi)長(chang)兼(jian)總(zong)(zong)(zong)經理(li)(li))、李祥凌(公(gong)(gong)(gong)司(si)(si)(si)(si)實(shi)際控制人(ren)(ren)(ren)、公(gong)(gong)(gong)司(si)(si)(si)(si)副董(dong)事(shi)長(chang))、李建峰(公(gong)(gong)(gong)司(si)(si)(si)(si)實(shi)際控制人(ren)(ren)(ren)、公(gong)(gong)(gong)司(si)(si)(si)(si)董(dong)事(shi))、劉嘉屹(公(gong)(gong)(gong)司(si)(si)(si)(si)董(dong)事(shi)會秘書)、王(wang)加志(公(gong)(gong)(gong)司(si)(si)(si)(si)副總(zong)(zong)(zong)經理(li)(li))、高(gao)慧(hui)敏(min)(公(gong)(gong)(gong)司(si)(si)(si)(si)總(zong)(zong)(zong)經理(li)(li)助理(li)(li))、王(wang)琳(lin)(公(gong)(gong)(gong)司(si)(si)(si)(si)董(dong)事(shi)兼(jian)總(zong)(zong)(zong)工程師)、洪津(jin)(公(gong)(gong)(gong)司(si)(si)(si)(si)財務(wu)總(zong)(zong)(zong)監)、高(gao)群(海源三維(wei)總(zong)(zong)(zong)經理(li)(li))及馮勝昔(易安特總(zong)(zong)(zong)經理(li)(li))認(ren)購的(de)(de)專用于本(ben)次非(fei)公(gong)(gong)(gong)開發行股票(piao)的(de)(de)資產管理(li)(li)計劃,與(yu)公(gong)(gong)(gong)司(si)(si)(si)(si)構成關聯關系。
在本(ben)次(ci)非公開發(fa)行募(mu)集的6.036億元(yuan)資金中,有3.836億元(yuan)用于新(xin)能源汽車碳(tan)纖維車身(shen)部(bu)件生產(chan)(chan)工藝技(ji)術及生產(chan)(chan)線裝備的研發(fa)及產(chan)(chan)業化(hua);2.2億元(yuan)用于新(xin)能源汽車碳(tan)纖維車身(shen)部(bu)件生產(chan)(chan)示(shi)范項(xiang)目。
《每日經濟新聞(wen)》記者(zhe)注(zhu)意到,在新能(neng)源(yuan)汽(qi)(qi)車(che)(che)的(de)革(ge)命性(xing)浪潮中,碳纖(xian)維(wei)復合材料質輕、高(gao)強、抗(kang)沖擊(ji)和耐腐(fu)蝕,是(shi)汽(qi)(qi)車(che)(che)輕量(liang)(liang)化、提高(gao)續(xu)航里程(cheng)的(de)重(zhong)要方向。目(mu)前,海源(yuan)機械已具備(bei)實施新能(neng)源(yuan)汽(qi)(qi)車(che)(che)碳纖(xian)維(wei)車(che)(che)身輕量(liang)(liang)化相關項目(mu)的(de)基礎(chu),可以滿足現代汽(qi)(qi)車(che)(che)工(gong)業大批量(liang)(liang)、低(di)成本的(de)制(zhi)造需求。
公(gong)(gong)(gong)(gong)(gong)告稱,通過(guo)本次非(fei)公(gong)(gong)(gong)(gong)(gong)開發行(xing),公(gong)(gong)(gong)(gong)(gong)司(si)(si)(si)可以發揮自身產業(ye)資源(yuan)優勢、擴大業(ye)務規(gui)模、促進(jin)公(gong)(gong)(gong)(gong)(gong)司(si)(si)(si)產業(ye)變革(ge)與升(sheng)級,以應對宏觀經濟周期性波動(dong)、國(guo)家法規(gui)、產業(ye)政(zheng)策變化及(ji)市場競爭的快速變化與挑戰。同時,公(gong)(gong)(gong)(gong)(gong)司(si)(si)(si)擬(ni)引入部分(fen)公(gong)(gong)(gong)(gong)(gong)司(si)(si)(si)管理層及(ji)核心員(yuan)工(gong)參(can)與認購,從(cong)而進(jin)一(yi)(yi)步建立和完善(shan)管理層與大股(gu)(gu)東間的利(li)益共享機(ji)制,實現股(gu)(gu)東、公(gong)(gong)(gong)(gong)(gong)司(si)(si)(si)和員(yuan)工(gong)利(li)益的一(yi)(yi)致,健全公(gong)(gong)(gong)(gong)(gong)司(si)(si)(si)長期、有效的激勵約束(shu)機(ji)制,改善(shan)公(gong)(gong)(gong)(gong)(gong)司(si)(si)(si)治理水平(ping)。
